On May 26, 2015, Charter and Time Warner Cable announced that they have entered into a definitive agreement for Charter to merge with Time Warner Cable in a deal valued at $78.7 billion.[33] Charter also confirmed that it would continue with its proposed acquisition of Bright House Networks, which serves more than 2.2 million customers.

The deal is subject to regulatory approval, although this deal is expected to face less resistance from the FCC than the Comcast/TWC deal, as the companies are relatively smaller, and their media production holdings are not as extensive as those of Comcast. The companies will operate under the Spectrum brand following the conclusion of the merger; Time Warner Cable shareholders are expected to hold a 44% stake in New Charter, and Advance Publications will hold an additional stake as part of the Bright House Networks purchase.[34] The purchase will make Charter the third-largest pay television company in the United States, behind Comcast and the proposed merger of AT&T and DirecTV.[35]
